Terms and Conditions & Privacy Policy

2. BUSINESS HOURS AND CONTACT AVAILABILITY Our standard business hours are: Monday to Thursday: 10 AM - 4 PM During these hours, we can be contacted via: Phone: 07703 - 193734 Email: wilhelmina@bosinteriors.design Please note that outside these hours, we will respond to inquiries during the next business day. 

3. SERVICES PROVIDED 3.1 As described in the different packages. 3.2 What Your Design Package Excludes: - Architectural services and structural modifications (unless specifically included) - Building permits and inspection fees - Contractor labor and installation costs (unless specifically included) - Furniture, décor, and material purchases (unless procurement services are included) - Shipping, delivery, and storage fees - Insurance for client's property - Maintenance or warranty services after project completion - Services not explicitly stated in Section 4.1 - Additional site visits beyond those specified in the agreement - Major revisions after client approval of final design concept 

4. CANCELLATION POLICY 4.1 Consumer Rights and Cooling-Off Period: - Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, clients who are consumers (not businesses) have a statutory 14-day cooling-off period from the date of signing this agreement. - To exercise your right to cancel during this period, you must inform us of your decision by a clear statement (e.g., a letter sent by post or email). You may use the model cancellation form provided with this agreement, but it is not obligatory. - If you requested us to begin the design services during the cooling-off period, you will pay an amount proportionate to what has been performed until you have communicated your cancellation, in comparison with the full coverage of the contract. 

4.2 Client Cancellation Beyond Cooling-Off Period: Cancellation Procedure: All cancellation requests must be submitted in writing to wilhelmina@bosinteriors.design Partial Refunds:** For cancellations after the cooling-off period but before initial design concepts have been presented, we will refund 80% of the deposit, minus any costs already incurred. No Refunds:** Cancellations after initial design concepts have been presented will not receive a refund of the deposit paid. Procurement Cancellations:** Custom-ordered items or items that have already been ordered cannot be refunded. Cancellation of standard items is subject to the supplier's return policy. 

4.3 Designer Cancellation: - We reserve the right to cancel services under the following circumstances: - Breach of these Terms and Conditions - Non-payment or late payment - Repeated substantial changes to project scope - Health and safety concerns at the project sit- Abusive behaviour toward our staf - Unreasonable demands outside the scope of service - Requests that violate building regulations or planning permission - In the event of our cancellation, refunds will be determined based on the percentage of work completed. 

5. LIMITATION OF LIABILITY 5.1 Maximum Liability: - Our total liability under this agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall be limited to the total amount paid by you for the design services. - Nothing in these Terms shall limit or exclude our liability for: - Death or personal injury caused by our negligence - Fraud or fraudulent misrepresentation - Any liability which cannot be legally limited or excluded under UK law 

5.2 Specific Exclusions: We do not assume liability for:
- Construction, installation, or implementation of design plans by third-party contractors
- Quality, performance, or timely delivery of furniture, fittings, and materials provided by third-party suppliers
- Existing structural, electrical, plumbing, or mechanical conditions that were not apparent during initial assessment
- Damage to client's property during installation unless caused directly by our staff
- Design modifications made without our consultation or approval
- Building regulations or planning permission issues when client chooses not to follow our recommendations
- Project delays caused by factors outside our control
- Client dissatisfaction with subjective design elements after approval of design concepts 

5.3 Indemnification: You agree to indemnify and hold harmless BOS INTERIORS, its employees, contractors, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your use of our design services, implementation of our designs, or breach of these Terms. 

6. FORCE MAJEURE Neither party shall be liable for failure to perform obligations if such failure is as a result of circumstances beyond reasonable control (force majeure), including but not limited to:
- Natural disasters or extreme weather conditions
- Pandemic or epidemic
- War, terrorism, riots, or civil disorder
- Government restrictions or actions
- Labor disputes or strikes
- System failures or internet outages In such events, obligations will be suspended during the force majeure period. If the period extends beyond 90 days, either party may terminate the agreement with written notice. 

7. PRIVACY POLICY 7.1 Information Collection: We collect the following information from clients:
- Full name and contact details
- Property address and details
- Billing and payment information
- Project requirements and preferences
- Lifestyle information relevant to design needs
- Photos and measurements of your space
- Budget parameters and constraints 
- Project timeline expectations
- References and inspiration images
- Communication history 

7.4 Data Retention: We retain your project information for 6 months after project completion or as required by law. Design plans and documentation remain our intellectual property with usage rights granted to you as specified in Section 10. 

8. PAYMENT TERMS As specified in the contract between BOS INTERIORS and client. Procurement Services: If we are handling procurement, a 100% deposit is required for all product orders. Hourly Services: For services billed hourly, invoices will be issued monthly and are due within on receipt. Late Payments: Late payments will incur interest at 17% per annum above the Bank of England base rate. Design work may be suspended until payment is received. Cost Increases: While we strive to provide accurate cost estimates, market fluctuations may affect material and furniture prices. Any significant price increases will be communicated to you before orders are placed. VAT: All fees are inclusive of VAT at the current rate of 20%. 

9. INTELLECTUAL PROPERTY Ownership: All design concepts, drawings, specifications, and documents created by BOS INTERIORS remain our intellectual property. 

Usage Rights: Upon full payment, you are granted a non-exclusive licence to use the final design documents for the specific project outlined in this agreement. Restrictions: Design documents may not be used for other properties, sold, or transferred to third parties without our written permission. Portfolio Rights: We reserve the right to photograph the completed project and use images for our portfolio, website, social media, and marketing materials, unless otherwise agreed in writing. Credit: We request proper attribution when our design work is featured in publications or media. 

10. GOVERNING LAW AND DISPUTE RESOLUTION - These Terms shall be governed by and construed in accordance with the laws of England and Wales. - Any dispute arising out of or in connection with this contract shall be resolved through negotiation in the first instance. - If the dispute cannot be resolved through negotiation, both parties agree to attempt resolution through mediation before commencing court proceedings. - If mediation is unsuccessful, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this agreement. 

11. MODIFICATIONS TO TERMS - We reserve the right to modify these Terms at any time. - Changes will be effective upon written notification to clients with active projects. - For ongoing projects, the Terms in effect at the time of signing will remain applicable unless mutually agreed otherwise in writing. 

12. ADDITIONAL DESIGN PROVISIONS

12.1 Project Timeline - Estimated project timelines are provided for planning purposes only and are not guarantees. - Timelines are subject to client response times, contractor availability, product lead times, and other factors outside our control. - Substantial delays caused by the client may result in project rescheduling or additional fees. 

12.2 Material Selections - All material, finish, and product selections are subject to availability. - If selected items become unavailable, we will propose suitable alternatives. - Colour variations may occur between samples and final products due to manufacturing processes and natural materials. 

12.3 Contractor and Supplier Relationships - Unless explicitly included in our services, we are not responsible for contractor selection, management, or work quality. - When we provide contractor referrals, clients are responsible for verifying credentials, insurance, and entering into separate agreements with these parties. - For procurement services, we act as your agent in ordering products but cannot guarantee against manufacturing defects or shipping damage. 



12.4 Client Responsibilities

    ⁃    Timely communication and decision-making

    ⁃    Providing accurate measurements and information about the space

    ⁃    Disclosing any building restrictions, leasehold limitations, or planning constraints

    ⁃    Obtaining necessary approvals from landlords, freeholders, or local authorities

    ⁃    Promptly reporting any concerns about design recommendations or implemented designs

 

13. COMPLAINTS PROCEDURE

 

    ⁃    If you are dissatisfied with any aspect of our service, please contact us at mailto:wilhelmina@bosinteriors.design or 07703-193734.

    ⁃    We will acknowledge your complaint within 2 working days.

    ⁃    We aim to resolve all complaints within 3 working days.

    ⁃    If we cannot resolve your complaint to your satisfaction, you may be entitled to refer the matter to an Alternative Dispute Resolution (ADR) provider.

 

14. ENTIRE AGREEMENT

 

These Terms constitute the entire agreement between the parties with respect to the design services hereof and supersede all prior agreements, understandings, and negotiations. Any modifications must be made in writing and signed by both parties.
